Ownership in Education Learning Management Corp.

Ownership Equity in Education Learning Management Corporation by Unions

Education Learning Management Corp. will be owned in part by our union partners, in return they will put up the capital we need to build facilities for 20,000 students in greater Cincinnati.

Cincinnati Change's agent will create a debt securities and equity investment vehicle that will provide for Education Learning Management Corp.:

(1) A high level of current income consistent with the preservation of capital;

(2) support of Cincinnati Change’s mission of creating schools, with agreement by a alliance of unions that will provide the workforce and entrepreneurial partners for Cincinnati Changes private sector development arm to rebuild Cincinnati with union workers;

(3) the creation of real estate investments in Greater Cincinnati that support real estate development as stated in Cincinnati Change’s operations declaration, and;
(4) the creation of investments that will be deemed qualified under the Community Reinvestment Act of 1977, as amended (the “CRA”), so financial institutions that are subject to the CRA may receive investment test or similar credit under the CRA with respect to shares of a Mutual Fund partner of Cincinnati Change and are held by them.

The founders of CINCINNATI Change believe the most fundamental test of leadership today is the willingness to declare your position then stand up and fight for what is right for people. Creating a new generation of trained labor who are members of the Coalition of Black Trade Unionists (CBTU) is right and knowlable of the struggle of African Americans in the labor movement.

CINCINNATI CHANGE believes that America must lead the world through progressive internationalism -- the bold exercise of U.S. leadership to foster peace, prosperity, and democracy. Cincinnati Change will work with democratic allies and international institutions that make us stronger, not weaker and grow jobs in Cincinnati, Ohio and other like cities based on the model developed here.

CINCINNATI CHANGE believes that recognition of the inherent dignity and of the equal and inalienable rights of all members of the human family is the foundation of freedom and in the faith in fundamental human rights, in the dignity and worth of the human person and in the equal rights of men and women and is determined to promote social progress and better standards of life in larger freedom, justice and peace in the world.

CINCINNATI CHANGE believes that America must lead the world and, through its cooperative domination, create solutions that serve the needs of Americans and those people who join in the freedoms enshrined in our constitution. The central mission of our time is to defend America's security with the ideals and aspirations enshrined in the creation of the United States of America and ideals embodied in this Universal Declaration of Human Rights and Operations.

CINCINNATI CHANGE believes that disregard and contempt for human rights have resulted in barbarous acts which have outraged the conscience of mankind. We will work for the advent of a world in which human beings shall enjoy freedom of speech and belief and freedom from fear and want that we proclaim as the highest aspiration of the common people.

CINCINNATI CHANGE is committed to the vision of creating strong families, individuals and businesses that live successfully in a multicultural, multiethnic and multiracial society thatheat through the creation of Education Learning Management Corp we will achieve that in Cincinnati, Ohio.

CINCINNATI CHANGE in partnership with Education Learning Management Corp will hrough a massive capital infusion tied to tax increment financing, will create an investment grade financial instrument to build schools for the over 12,000 kids in Cincinnati who have no school over the next five years. With partners, we will implement a workforce training business process initiative that will create a new creative class in the city who will be employed by union companies.

Now therefore does Cincinnati Change and Education Learning Management Corp declare and propose:

1. CINCINNATI CHANGE believes that we in Cincinnati must work together to make a change. Cincinnati Change encourages increased economic stability through the creation of businesses where the owners have a solid understanding of the financial marketplace. As one of founders of Education Learning Management Corp Cincinnati Change expects that over 100 companies will be created as joint operations and new businesses to support our students and their schools, staff and after school programs. In all cases, with a signed Planned Labor Agreement, we will be employing union workers.

2. CINCINNATI CHANGE believes that through the implementation of it's licensed business process and partnering with already established enterprises and governmental programs along with community development partners including unions as represented by the Coalition of Black Trade Unionists and the A. Philip Randolph Institute, that we will be able to create the capital and technical assistance needed to grow businesses in the Greater Cincinnati region that employ union members.

3. CINCINNATI CHANGE believes that it can implement a community development process through which an individual or a family or a community service institution can be changed by a shift in their knowledge of the financial services marketplace and that communities can develop and successfully sustain themselves.

4. CINCINNATI CHANGE believes that one of crucial root causes of CRIME is poverty and that we can change the conditions from which crime takes root.

5. CHANGE believes that once its economic development programs are in place, the number of those who break the law as a survival tactic will be reduced. We are putting in place specific programs that help ex-criminals get a job and or start a businesses as well as prevent the culture that aids in the creation of lawless society in Cincinnati.

6. CINCINNATI CHANGE believes that it has a economic & community development program initiative that will make a positive change in the lives of the residents of the City of Cincinnati and the Tristate region. Through Education Learning Management Corp we will create a lifelong workforce development program.

7. CINCINNATI CHANGE believes that the global economy has opened the American marketplace to goods from countries that routinely allow abuse of working people, and that some sweatshops thrive even in this country. Cincinnati Change will support the creation of a business infrastructure that takes advantage of the marketing decision of smart consumers. More and more, smart consumers are thinking about the people who make the products we buy and the conditions they work in. Products carried in our partner stores and supplied to customers in Cincinnati Change developments will be stocked with goods made in shops where workers labor in safe conditions and are paid living wages so they will not have to struggle to feed and shelter their families.

8. CINCINNATI CHANGE believes that there are many variables to crime but the strongest driver is the economy. Cincinnati Change believes that rising unemployment in urban areas has made daily life more of a struggle and, in some cases, has heightened tensions between residents and law enforcement. Cincinnati Change will create jobs for those who have none, and encourage projects which rebuild the regions infrastructure and use unemployed and underemployed workers from Cincinnati.

9. CINCINNATI CHANGE is committed to providing a living wage that will benefit working families, help offset the decline in family incomes arising from the downturn and encourage job growth. The benefits of this living wage will flow primarily to low and moderate-income families where 60 percent of the benefit from the last increase went to families in the bottom 40 percent of the income ladder. These families are most likely to spend what they earn, spurring job growth & proving jobs to other Cincinnatians.

10. CINCINNATI CHANGE is committed to providing a defined-benefit plan for workers in which the proceeds are invested in union workers homes, homes for people with disabilities, retirement homes and health care facilities in Greater Cincinnati. The Cincinnati Change plan of action with its union partners will provide a guaranteed benefit financed by professionally managed funds invested in real estate and union companies through qualified investment vehicles. These benefits will accrue over a worker’s career with Cincinnati Change or one of it’s for profit development arms and will be funded by automatic contributions from employers and workers. Cincinnati Change and or development arms, not individual workers, bear the investment risk, and workers are offered lifetime benefit payouts that include payments for housing and health care for the workers and their spouses.

11. CINCINNATI CHANGE is committed to using contractors who will abide by all applicable labor laws. A contract may be terminated anytime Cincinnati Change is presented with reasonable evidence that a contractor has not been abiding by all applicable labor laws even though the contractor may not have been fully adjudicated in violation of such law.

12. CINCINNATI CHANGE is committed to using contractors who pay their employees fair and decent wages and benefits. Fair and decent wages are considered to be wages negotiated in the Cincinnati Change Planned Labor Agreement.

13. CINCINNATI CHANGE is committed to using contractors who maintain safe and healthy working conditions and abide by all applicable wage and hour regulations and prohibitions against child labor. Contractors’ working conditions will conform to the standards set by the Federal OSHA or similar state agency.

14. CINCINNATI CHANGE is committed to using contractors who honor the right of every worker to organize (or not to organize )into a union as the worker so wishes within the context of the Planned Labor Agreement contained herein. Accordingly, a contractor will remain neutral on the issue of unionization of its employees, will recognize the union as the collective bargaining representative of its employees upon a showing on cards that a majority of the contractor’s employees favor unionization, and, upon recognition, will bargain in good faith with the union to reach a fair and reasonable contract extension of the Planned Labor Agreement negotiated between Cincinnati Change, Lloyds General and Electrical Contractors, Inc. and HCCI.

15. CINCINNATI CHANGE is committed to using contractors who will, on request from Cincinnati Change, provide to the joint operating council on human resources a report on their compliance with this policy.

16. CINCINNATI CHANGE is committed to using contractors who, while performing building construction, operations or maintenance services on a property in which Cincinnati Change has invested in and or is part of the development team, fails to abide by the terms of this policy will be subject to termination.

17. Memorandum of Understanding (MOU) Project Labor Agreement (PLA) between Cincinnati Change (CC), Lloyds General & Electrical Contractors, Inc. (Lloyds), HCCI, Lloyd Daniels Development Group LLC. (LDG), the local Cincinnati chapter of the Coalition of Black Trade Unionists (CBTU) will in this PLA will represent African American Union workers along with the Greater Cincinnati Building & Construction Trades Council representative.

18. The LDG Cincinnati PLA is a project-specific agreement, negotiated at the outset of the proposed EDcorp Cincinnati construction projects, between the owner (EDcorp Cincinnati) or contractor (Lloyds) and all of the labor unions representing the crafts and trades that are needed to complete the project. The agreement will cover the wages, working conditions, work rules, and dispute-resolution procedures for the duration of the project along with funding of the projects. Of importance, a project labor agreement generally guarantees that the project will be built without strikes, lock-outs, or other disruptions, which might delay completion and increase costs. The Unions, who have a great share of the $4-7 trillion invested in Union pensions, will be asked to fund our projects in return for a master PLA that provides secured employment for their members.

Furthermore, they will be asked for access to their HIT Fund and other investment vehicles including pension funds. The PLA drafting process for this project and others developed by CC will be led by the first union women electrical contractor in the region, Wanda Lloyd Daniels, a African American Minister who is an International Brotherhood of Electrical Workers Journeyman and owner of Lloyds General & Electrical Contractors, a AFL CIO Union agreement company, Fred Hargrove Sr. P.E., MBA Chairman of Cincinnati Change, and Hershel Daniels Junior who is President of Lloyd Daniels Development Group, a minority owned businesses along with the board of Education Learning Management Corp..

19. CINCINNATI CHANGE is committed to creating a Planned Labor Agreement that incorporate this document and the following points in it:

19.1. Under our PLA Education Learning Management Corp. will need stable labor costs so we can bid without guessing and develop current projects with known labor costs.

19.2. Under our PLA we want to join forces with the CBCTC to create a reliable supply of skilled workers for the PLA duration with a minimum of 35% drawn from the Empowerment Zone of Cincinnati.

19.3. Under our PLA we want to create or join a union certified apprenticeship program that will have at least 60% minorities and where 40% of the students are female. Furthermore, we would have access to at least 10,000 students, through 2010, of a EDcorp Cincinnati high school program that graduates students with a state high school diploma who have taken coursework agreed upon by Unions that qualify them to attend US DOL Certified training and apprenticeship program. This would be run by a council composed of 1/3 Union members, 1/3 Education Learning Management Corp members & 1/3 Cincinnati Change Appointees.

19.4 Under our PLA Education Learning Management Corp. will require health care benefits for our workers who will build a world class health care infrastructure in Hamilton county with a focus on a facility in the city of Cincinnati where the majority of our employees and their families would be served.

19.5. Under our PLA Education Learning Management Corp. would have a no-strike no lockout commitment so we can fast track a plan of action to build 50 million sq. ft. of buildings in Greater Cincinnati which will house 20,000 students, 10,000 homes and 1,000 businesses - all built with Union workers.

19.6. Under our PLA, Education Learning Management Corp. want binding procedures to settle disputes to avoid work stoppages.

19.7. Under our PLA Education Learning Management Corp. would define management's labor utilization flexibility to meet project needs and deadlines.

19.8. Under our PLA Education Learning Management Corp. require that at least 50% of the workers live in the Empowerment Zone.

19.9. Education Learning Management Corp. believes in a safe workplace and will work among competent, trained crafts workers to create it through a bottom up safety system with an independent omnibudsman who has direct access to project decision makers.

19.10. The control of pension fund assets generated by the projects covered by the PLA rests with the company hired financial managers hired with the consent of a majority of workers. These financial managers will only be able to invest in union sponsored projects, government backed securities and or are to be used to support the creation of regional retirement planned unit developments that contain assisted living and nursing care options along with supportive services for retirees in general with Union workers having priority. We believe that the impact that this behavior might have on the jobs of workers for whom they are investing is a concern for pension fund managers and want to work with the unions to address this. The law is clear.

The law requires that pension fund managers act in the interest of the pension plans participants and beneficiaries –CC through partners such as Morgan Stanley, Bank One, Blackrock, Johnson, Western Southern, American Express, Lehman Brothers, Merrill Lynch, GE, and other selected financial partners will offer financial products that met the criteria as investment grade and union made.

20. Permission to establish chapters in the Africa Union.

Education Learning Management Corporation will be created as a for profit Texas business to create a global school infrastructure with stock issued through SCOR.

The company will be formed by a founders group that includes Wilson Military Academy and an established 501(c)3 (johns NGO) along with two for profit enterprises.

One of the for profit enterprises will include Lloyd Daniels Development Group and it's local implimentation agent Cincinnati Change, it's technology partners Dimensions International and IBM, it's educational partner EDgate, it's A&E partner Hargrove Engineering, it's capital partner Henderson and Associates, it's construction partners Lloyds General and Electrical Contractors, Inc. and Turner Construction and it's communications patent licessing agent MDDG.

The other for profit company is Gerome's which is part of the founding group; we acknowledge that his company is responsible for pulling us all together.
